  • Overview

    The General Counsel of Silver Bay Seafoods, L.L.C. oversees all aspects of the organization’s legal affairs, safety and environmental compliance programs, human resources department and risk management activities, and serves as an integral member of the organization’s senior management team. The position is based out of Silver Bay’s Seattle, Washington corporate office and reports to the President of the company.

    Responsibilities

    JOB RESPONSIBILITIES

     

    Legal Affairs

     

    • Provides accurate and timely legal guidance to senior management and the board of directors on all legal matters that impact or may impact the organization.
    • Serves as Corporate Secretary and ensures strong corporate governance and general legal housekeeping.
    • Coordinates the negotiation, document preparation and review, and closing of mergers and acquisitions.
    • Drafts and reviews contracts with or for fishermen, customers, vendors and others.
    • Manages internal investigations and litigation.
    • Selects and manages outside counsel.
    • Monitors compliance with federal and state regulatory requirements and pro-actively addresses issues as they arise.
    • Attends management meetings and provides strategic legal advice.

     

    Compliance and Human Resources Programs

    •  
    • Oversees the safety and environmental compliance programs and manages the personnel within each department.
    • Leads, directs and manages the human resources department.
    • Responsible for the ethics hotline and ensures that all hotline matters are investigated and effectively addressed.

     

    Risk Management

    •  
    • Oversees the safety and environmental compliance programs and manages the personnel within each department.

    Qualifications

    EXPERIENCE AND SKILLS

     

    • Prior General Counsel experience highly preferred, with at least 3 years of prior General Counsel experience.
    • Experience with the seafood industry and a proven understanding of the regulatory aspects of the maritime and the food production industries preferred.
    • Partner-level private practice experience required, with at least five years of prior partner-level experience preferred.
    • Sufficient overall legal knowledge (corporate law, litigation, maritime law and employment/labor law) to perform duties above.
    • Demonstrated ability to use legal and business knowledge, financial acumen, innovative thinking and sound judgment to solve problems and pursue opportunities for improvement.
    • High degree of professional ethics and integrity.
    • Excellent judgment and analytical skills.
    • First class interpersonal and communication skills.
    • In-depth understanding of how legal issues impact organizations.
    • Law degree (J.D.)
    • Licensed to practice law in Alaska and/or Washington preferred, or qualified to serve as house counsel under the above states ethical rules. 
    • Must be able to travel.
